SmartMeals is for informational purposes only. Content, including recipes, ingredient lists, nutritional data, and meal suggestions, is not medical advice, diagnosis, or treatment. Always seek the advice of your physician or qualified health provider regarding any medical condition, dietary need, or allergy before relying on information provided by SmartMeals.

• You must never disregard professional advice or delay seeking it because of something you read or obtain from SmartMeals.
• If you think you may have a medical emergency, call 911 or your doctor immediately.
• SmartMeals does not recommend or endorse any specific recipes, diets, tests, products, procedures, or opinions.
• Content may be incomplete, contain errors, or fail to reflect the most current nutritional or health standards. Nutritional data is approximate and provided "AS IS."
• Reliance on any information provided by SmartMeals, its licensors, your retailer, or other sources is at your own risk.

2. Allergen & Dietary Responsibility

SmartMeals may allow you to set dietary preferences and allergy filters, but it cannot guarantee that any recipe or ingredient is free from allergens or meets your dietary requirements.

• Ingredients, labels, and manufacturing processes may change without notice.
• Store substitutions, supplier changes, and recipe variations may introduce allergens or undesired ingredients.
• You are solely responsible for verifying all ingredient labels, allergen statements, and suitability for your personal dietary needs.
• You should confirm information directly with the product manufacturer before use.
• You assume all risks associated with preparing, handling, and consuming food recommended by SmartMeals.
• Breez AI, your retailer, and their affiliates disclaim all liability for allergic reactions, foodborne illness, or other adverse outcomes from any recipe or ingredient.

3. Copyright & Intellectual Property

All content within SmartMeals, including recipes, images, data, and AI-generated text, is protected by copyright, trademark, and other intellectual property laws, whether owned by Breez AI, your retailer, or third-party licensors.

• You may use SmartMeals content for personal, non-commercial purposes only.
• You may not copy, distribute, display, modify, create derivative works from, or exploit any content without prior written consent from the rightful owner.
• All recipes, images, and other materials remain the property of their respective owners.
• If you believe any content in SmartMeals infringes your copyright, please contact us at [email protected] with the information required under the Digital Millennium Copyright Act (DMCA) or applicable law. We reserve the right to remove content at our discretion and without notice.

4. Privacy & Data Use

SmartMeals is offered through your retailer's website or mobile application. Your retailer's Privacy Policy governs how personal information is collected, used, and shared. Breez AI operates SmartMeals as a service provider to your retailer and processes certain data on your retailer's behalf.

By using SmartMeals, you acknowledge and agree that:

• Service Provider Role — Breez AI does not own your personal information. We process it only as directed by your retailer, and solely to operate, maintain, and improve SmartMeals.
• Data From You and Your Device — SmartMeals may collect information you provide (such as recipes you save, preferences, and household details) and information about your use of the service (such as recipes viewed, selections made, and time spent on pages).
• No Independent Data Sales or Sharing — Breez AI does not sell or share your personal information with third parties for their own marketing or commercial purposes. Any data sharing occurs only as necessary to provide SmartMeals to you, fulfill your requests, or as required by law.
• Aggregated & De-Identified Data — We may use aggregated or de-identified data (data that does not identify you personally) for analytics, research, product improvement, and commercial purposes. Such data is not subject to consumer privacy rights.
• Data Security — While we use reasonable measures to protect your data, no system is 100% secure. We disclaim liability for unauthorized access or breaches beyond our reasonable control.
• Jurisdiction — Your information may be stored or processed in the United States or other countries, and privacy laws in those locations may differ from those where you live.
• Personalized Offers and Coupons — SmartMeals may use information provided by your retailer and information about your activity in SmartMeals to personalize your experience, including presenting deals, digital coupons, and other offers that may be relevant to you. This may include using retailer-provided loyalty and purchase history (such as prior purchases, basket patterns, and offer redemptions), along with your preferences and in-app activity, to determine which offers to show.
• Sponsored Content and Measurement — Some offers, product placements, or recommendations may be sponsored or promoted by brands or your retailer. We and your retailer may measure how offers perform (for example, whether an offer was viewed, clipped, added to a list or cart, or redeemed) to improve relevance and program performance.
• Service Provider Sharing for Offers — To provide and administer coupons and offers, your retailer and Breez may use service providers (such as coupon fulfillment, analytics, and measurement vendors). Any sharing is limited to what is necessary to operate these functions on your retailer's behalf and is not for the vendor's independent marketing purposes.

5. Third-Party Content

SmartMeals may display product data, ingredient information, or images provided by your retailer or other licensed sources. These materials are provided solely for your convenience, and we do not guarantee their accuracy, completeness, or suitability. We do not and will never allow third parties to collect your personal information through SmartMeals.

6. No Warranty — Limitation of Liability

SmartMeals is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law:

• Breez AI, your retailer, and their affiliates, officers, employees, and agents shall not be liable for any damages arising from your use of SmartMeals, including but not limited to direct, indirect, incidental, consequential, punitive, or special damages.
• This limitation applies to damages resulting from, among other things: reliance on content; errors, omissions, or inaccuracies; personal injury; property damage; allergic reactions; foodborne illness; dietary impacts; unauthorized access; interruptions; and loss of data.
• If liability is found despite these Terms, total liability shall not exceed the lesser of one hundred U.S. dollars ($100) or the amount you paid to use SmartMeals (if any).

7. Changes to These Terms

We may update these Terms from time to time. Continued use of SmartMeals after changes are posted means you accept the revised Terms.

8. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the state in which your retailer is headquartered, without regard to conflict of law provisions.
• Any dispute arising from these Terms must be resolved in the state or federal courts located in that state, and you consent to personal jurisdiction in those courts.
• You agree to bring any claims only in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.

9. Intellectual Property Protection

• Evaluation Use Only — If you are granted access to a demonstration, preview, beta, or evaluation version of SmartMeals (a "Demo"), the Demo is provided solely for your internal evaluation purposes. You may not use the Demo in a production environment or for the benefit of any third party.
• No Copying, Recording, or Replication — You may not copy, reproduce, distribute, publish, or create derivative works from the Demo, the live solution, or any portion of it. You may not capture, record, screenshot, scrape, or otherwise extract functionality, content, user interface, outputs, or workflows except as expressly authorized in writing by Breez AI.
• No Reverse Engineering or Competitive Use — You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying models, prompts, methods, or ideas from the Demo. You may not use the Demo to build, train, or improve a competing product or service, or to conduct and disclose benchmarking or comparative testing without Breez AI's prior written consent.
• Confidentiality — The Demo and any related materials, documentation, and non-public information about Breez AI and SmartMeals are confidential. You will limit access to personnel with a need to know for evaluation, protect the Demo using reasonable safeguards, and not disclose the Demo to any third party.
• Ownership and Remedies — Breez AI and its licensors retain all right, title, and interest in and to SmartMeals and the Demo, including all intellectual property rights. Access to the Demo does not transfer any ownership rights. Unauthorized use may cause irreparable harm, and Breez AI may seek injunctive or equitable relief and may suspend or terminate Demo access at any time.
